TERMS AND CONDITIONS

JSK LEX Private Limited ("Lexcards" "we" "us" "our") owns, operates and maintains the mobile application Lexcards ("App") to provide and disseminate legal information, judgments, and educational resources for lawyers and law students. Your use of this App is subject to the terms and conditions laid down below.

By downloading, accessing, and using the App, you agree to these Terms and Conditions ("Terms").

By using this App, you represent, warrant, and covenant that you shall abide by all the terms and conditions contained herein. We reserve the right to change these Terms entirely or any part thereof, at any time without giving you any prior notice. Your use of the App following any such modification constitutes your agreement to follow and be bound by these Terms as modified. The date of last update of these Terms will be available at the end of this document. We also reserve the right to change the App, or discontinue the App or any part thereof at any time without any liability.

1. PERMITTED USE OF THE APP

You may use the App and the information, writings, legal judgments, lexcards, images and/or other works that you see, hear or otherwise experience on the App (singly or collectively, the "Content") solely for your non-commercial, personal use and/or educational purposes, and solely in compliance with these Terms. As a lawyer or law student, you may:

• Create, save, and organize lexcards for your personal study or reference

• Access and read legal judgments provided through the App

• Share lexcards with other users through the App's sharing functionality, where available

• Use the App's features for your legal education or professional development

2. PROHIBITED USE OF THE APP

By accessing the App, you agree that you will not:

• Use the App in violation of these Terms;

• Copy, modify, create a derivative work from, reverse engineer or reverse assemble the App (including any part thereof) or the Content, or otherwise attempt to discover any source code, or allow any third party to do so;

• Commercially exploit or otherwise transfer any right in the App or the Content in any way;

• Do anything that gives the impression that this App and the Contents belong to you or a third party;

• Use or launch any automated system, of any nature whatsoever, that accesses the App in a manner that cannot be achieved by a reasonable human and will include (without limitation) sending any type of automated requests;

• Do anything, directly or indirectly, that damages, disables, overburdens, or impairs the App or the Contents in any manner;

• Mirror or frame the App or any part of it on any other website, application or digital platform;

• Access the App by any means other than through the official channels provided by Lexcards;

• Use the App for any purpose or in any manner that is unlawful or prohibited under law;

• Upload or share confidential client information or any information that may breach attorney-client privilege;

• Use the App to provide legal advice to third parties in violation of applicable regulations governing the practice of law.

We have the right to take any legal action against you for using the App or Contents in violation of the Terms. It may also expose you to direct action by the regulators.

3. INTELLECTUAL PROPERTY

The App and the Contents are proprietary to Lexcards (unless specifically indicated to the contrary) and are protected by intellectual property laws and other laws. Lexcards owns and retains all trademarks and copyrights in the App and the Content. You agree to abide by all applicable copyright, trademark and other laws, as well as any additional restrictions displayed.

Except as specifically permitted on the App as to certain Content, the Content may not be copied, reproduced, modified, published, uploaded, posted, transmitted, performed, or distributed in any way, and you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, or create derivative works based on the Content or the App, in whole or in part, by any means.

The Lexcards logo, logos of Lexcards' products and services and other marks used by Lexcards from time to time are trademarks and the property of Lexcards. You do not receive any right or license to use the foregoing. Lexcards may use and incorporate into the App any suggestions or other feedback you provide, without payment or condition.

Regarding legal judgments accessible through the App, these judgments are typically public domain documents, but our specific compilation, organization, annotations, and presentation of these judgments may be protected by copyright.

If you believe that your work has been copied in a way that constitutes infringement on the App, please write to us at support@lexcards.in with details of such potential infringement.

4. USER CONTENT AND MATERIALS

4.1 User-Created Content

When you create lexcards or other content within the App ("User Content"), you retain ownership of the intellectual property rights in that content, but you grant Lexcards a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, and display such User Content for the purpose of displaying, distributing, and promoting the App.

4.2 Representations Regarding Materials

You represent that you have all right, title, and interest to materials you post on the App or provide to Lexcards ("Materials"), including but not limited to any consent, authorization, release, clearance or license from any third party (such as, but not limited to, any release related to rights of privacy or publicity) necessary for you to provide, post, upload, input or submit the Materials, and that posting such Materials does not violate or constitute the infringement of any patent, copyright, trademark, trade secret, right of privacy, right of publicity, moral rights, or other intellectual property right or other right recognized by any applicable jurisdiction of any person or entity, or otherwise constitute the breach of any agreement with any other person or entity.

You further represent and warrant that you are who you say you are, that you have not submitted fictitious, false or inaccurate information about yourself, and that all information contained in the posted Materials is true and your own work or work you are authorized to submit, and that the posted Materials do not contain any threatening, harassing, libelous, false, defamatory, offensive, obscene, or pornographic, material, or other material that would violate any applicable law or regulation. You agree that you will not knowingly and with intent to defraud provide material and misleading information. You represent and warrant that the Materials you supply do not violate these Terms.

5. LINKS TO THIRD-PARTY WEBSITES

Links on the App to third party websites or information are provided solely as a convenience to you. If you use these links, you will leave the App. Such links do not constitute or imply an endorsement, sponsorship, or recommendation by Lexcards of the third party, the third-party website, or the information there. Lexcards is not responsible for the availability of any such websites. Lexcards is not responsible or liable for any such websites or the content thereon. If you use the links to the websites of Lexcards affiliates or service providers, you will leave the App and will be subject to the terms of use and privacy policy applicable to those websites.

6. DOWNLOADING AND APP UPDATES

We cannot and do not guarantee or warrant that files available for downloading through the App will be free of infection by software viruses or other harmful computer code, files or programs.

The App may automatically download and install updates from time to time. These updates are designed to improve, enhance, and further develop the App and may take the form of bug fixes, enhanced functions, new software modules, and completely new versions. You agree to receive such updates as part of your use of the App.

7. DISCLAIMERS; LIMITATIONS OF LIABILITY

LEXCARDS AND ITS SERVICE PROVIDERS, LICENSORS AND SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY OR ACCURACY OF THE APP OR THE CONTENT FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. LEXCARDS AND ITS SERVICE PROVIDERS, LICENSORS AND SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO THE APP AND THE CONTENT, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. NO STATEMENT OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM LEXCARDS IN ANY MEANS OR FASHION SHALL CREATE ANY WARRANTY NOT EXPRESSLY AND EXPLICITLY SET FORTH IN THIS AGREEMENT. THE CONTENT MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS.

LEGAL INFORMATION PROVIDED THROUGH THE APP IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND IS NOT INTENDED TO CONSTITUTE LEGAL ADVICE. LEXCARDS IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL SERVICES. USE OF THE APP IS NOT INTENDED TO AND DOES NOT CREATE AN ATTORNEY-CLIENT RELATIONSHIP.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEXCARDS AND ITS SERVICE PROVIDERS, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR OTHER TYPE OF DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR COVER OR LOSS OF USE, DATA, REVENUE OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE APP, WITH THE DELAY OR INABILITY TO USE THE APP, OR FOR ANY CONTENT, OR OTHERWISE ARISING OUT OF THE USE OF THE APP, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, THE FAILURE OF ANY LIMITED REMEDY TO ACHIEVE ITS ESSENTIAL PURPOSE, OR OTHERWISE, EVEN IF LEXCARDS OR ANY OF LEXCARDS' SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

8. INDEMNIFICATION

You understand and agree that you are personally responsible for your behavior on the App. You agree to indemnify, defend and hold harmless Lexcards, its subsidiaries, affiliates, joint venturers, business partners, licensors, employees, agents, directors consultants and any third-party information providers from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys' fees, resulting from or arising out of your use, misuse of the App or the Content, or any violation by you of these Terms or applicable laws.

9. PRIVACY

Your use of the App is subject to Lexcards' Privacy Policy, which is incorporated into these Terms by reference.

10. SUBSCRIPTION AND PAYMENT TERMS

10.1 Subscription Options

The App may offer free and premium subscription options. Features available in each subscription type will be clearly indicated at the point of purchase.

10.2 Payment

All payments for premium subscriptions shall be processed through authorized third-party payment processors. By subscribing to a premium plan, you authorize us to charge your chosen payment method according to the terms of the plan you select.

10.3 Subscription Renewal and Cancellation

Premium subscriptions may automatically renew unless canceled at least 24 hours prior to the end of the current period. You can manage and cancel your subscription through your account settings within the App or through your device's app store account.

11. TERMINATION

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease.

12. GENERAL PROVISIONS

• Entire Agreement/No Waiver. These Terms constitute the entire agreement of the parties with respect to the subject matter hereof. No waiver by Lexcards of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

• Correction of Errors and Inaccuracies. The Content may contain typographical errors or other errors or inaccuracies and may not be complete or current. Lexcards therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update the Content at any time without prior notice. Lexcards does not, however, guarantee that any errors, inaccuracies or omissions will be corrected.

• Enforcement/ Choice of Law/ Choice of Forum. If any part of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of these Terms, all of which will remain in full force and effect. Any and all disputes relating to these Terms, Lexcards' Privacy Policy, your use of the App, or the Content are governed by, and will be interpreted in accordance with, the laws of India, without regard to any conflict of laws provisions. You agree to the sole and exclusive jurisdiction of the Courts in Guntur in the event of any dispute of any kind arising from or relating to these Terms, Lexcards' Privacy Policy, your use of the App, or the Content.
